Terms & Conditions

ROZI Contractors (“Company,” “we,” “us,” or “our”) is committed to meeting and exceeding the expectations of our clients. These Terms and Conditions (“Terms”) govern the relationship between the Company and any individual, business, contractor, developer, property manager, or entity (“Client,” “you,” or “your”) that engages ROZI Contractors for the provision of drywall, insulation, taping, metal framing, fire coating, acoustic systems, finishing, or any other construction-related services (collectively, “Services”). By engaging our Services, submitting a request for a quote, signing a proposal, or permitting our crews on your property, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
These Terms apply to all Services performed by ROZI Contractors across all project types, including but not limited to custom homes, sub-divisions, multi-unit residential buildings, condominiums, commercial projects, institutional facilities, heritage buildings, and any other construction or renovation project. In the event of any conflict between these Terms and the terms of a signed contract, proposal, or work order, the signed document shall prevail with respect to the specific terms addressed therein, and these Terms shall govern all matters not specifically addressed.
Scope of Work & Warranty
ROZI Contractors warrants that all work performed will be completed in a professional and workmanlike manner in accordance with the specifications outlined in the signed proposal, contract, or work order. Our warranty covers the specific scope of work described in the project documentation and does not extend to any work, surfaces, materials, or conditions beyond that scope.
Warranty does not extend to finished interior or finished exterior surfaces that are not part of the contracted scope. Structural defects, pre-existing conditions, framing deficiencies, engineering design flaws, moisture intrusion from external sources, settling, foundation movement, and any other conditions outside the control of ROZI Contractors are expressly excluded from warranty coverage. Drywall cracking caused by normal building settlement, structural movement, temperature fluctuations, or humidity changes is a natural occurrence in construction and is not covered under our warranty.
Structural and aesthetic conditions that restrict our ability to install products or achieve specified performance standards are not the responsibility of ROZI Contractors. These include but are not limited to: exposed or non-insulated valley rafters, wood or steel beams, headers, ladder framing, pot lights, blocked or partially blocked soffits, mechanical obstructions, incorrectly installed vapour barriers by other trades, and any designed or built-in thermal bridges. Where framing, ductwork, plumbing, electrical, or other trade work restricts or obstructs our access to perform contracted work, ROZI Contractors takes exception to fault and cannot be held responsible for incomplete installation, reduced performance, or building envelope failures in those obstructed areas.
Finish Levels & Tolerances
All taping and finishing work is performed to the finish level specified in the signed proposal (Level 3, Level 4, or Level 5). If no finish level is specified, work will default to commercially standard Level 4 finish. The appearance and quality expectations for each finish level are defined by industry standards (ASTM C840 and GA-214). Clients requesting Level 5 finishes must understand that Level 5 is a premium specification requiring skim-coat application across all surfaces and is quoted at a premium rate accordingly.
All drywall, taping, and finishing work is subject to standard construction tolerances. Minor imperfections, nail pops, hairline cracks at joints, and seasonal expansion and contraction are natural characteristics of drywall systems and are not considered defects. All spray-applied insulation products (including spray polyurethane foam) are subject to a thickness tolerance of plus or minus one-quarter inch (+/- 1/4") irrespective of how the specification was presented in the proposal, whether expressed as R-Value, thickness, or any other measurement.
Site Access & Preparation
We require clear, unobstructed access to all locations where work is to be performed. The Client is responsible for ensuring that the work area is cleared and ready for our crews upon arrival. Any items, materials, furniture, personal belongings, or obstructions not removed from the work area prior to our arrival that require removal by our personnel will incur a standby charge of $200.00 per hour. ROZI Contractors is not liable for any damage incurred while moving, covering, or working around the Client's possessions, fixtures, or existing installations.
Production vehicles used by ROZI Contractors range from pick-up trucks to large commercial vehicles. Our vehicles require parking within 100 feet of the work area. The Client is responsible for ensuring adequate parking space for our vehicles and equipment. For spray foam and fire coating applications, equipment must be positioned within 50 feet of the building. Where municipal water hookup is required (thermal barrier applications), a hose bib must be accessible within 100 feet of the equipment. The Client is responsible for providing temporary heat to the installation area when ambient temperatures may cause product freezing or curing issues.
Scheduling, Cancellation & Delays
ROZI Contractors requires a minimum of 48 hours notice for any scheduling changes. Scheduling changes requested with less than 48 hours notice will incur a rescheduling surcharge of $150.00. Cancellation of confirmed work without adequate notice may result in forfeiture of any deposit paid.
ROZI Contractors cannot provide or guarantee an exact time that work will commence or conclude on any given day. Crew arrival times, project duration, and completion dates are estimates based on typical project parameters and are subject to change based on site conditions, scope adjustments, material availability, weather, and other factors. ROZI Contractors is unable to provide credits or compensation for time spent waiting, delays to other trades, or costs incurred by the Client due to scheduling variations.
Some applications and services are weather-dependent. ROZI Contractors will not be responsible or liable to any other trades or parties whose schedules are affected when weather conditions do not permit safe or effective installation. This determination will be made at ROZI Contractors' sole discretion. We will make every reasonable effort to reschedule weather-delayed work as quickly as possible.
Spray Foam Insulation
Per CAN/ULC S705.2 (the application standard for spray-applied polyurethane foam referenced in the Ontario Building Code), it is recommended that the Client provides the means to achieve 0.3 air changes per hour in the installation area for a period of 24 hours following application. It is strongly advised and recommended that all occupants, including humans and pets, vacate the property during the installation of spray polyurethane foam and for a minimum of 24 hours after installation is complete. Individuals with allergies, breathing conditions, or sensitivity to strong odours should make alternate arrangements for the duration of curing. The Client is responsible for making alternate care arrangements for children, elderly occupants, and animals during installation.
We require a minimum of 5 feet of clear access from the surface to be insulated. All items remaining in the work area must be covered with polyethylene drop sheeting or tarps to protect from overspray. Wherever possible, the room or area being insulated should be isolated from the rest of the building, and all HVAC vents, cold air returns, and openings should be sealed off to prevent migration of odour or mist. A residual odour from the manufacturing process will dissipate within 24 hours. Adequate ventilation must be provided by the Client when necessary.
The installation of spray polyurethane foam insulation requires a fire-protective thermal barrier and must not be left exposed in occupied spaces. This thermal barrier is not included in the scope of work unless specifically noted in the signed proposal. All spray foam insulation products used by ROZI Contractors comply with Environment and Climate Change Canada regulations regarding hydrofluorocarbon (HFC) blowing agents and the Kigali Amendment to the Montreal Protocol.
Fire Coating & Intumescent Applications
DC315 fire coating and intumescent spray applications are applied in accordance with manufacturer specifications and applicable building code requirements. ROZI Contractors applies fire-protective coatings at the coverage rates and thicknesses specified by the product manufacturer. Fire coating is a code compliance measure and does not constitute a structural fire rating or fire-stopping system unless specifically designed and quoted as such. The Client and/or general contractor are solely responsible for ensuring that the specified fire coating meets the fire-resistance requirements of their specific building design and applicable codes.
Metal Framing & Suspended Ceilings
All metal framing, steel stud installation, and suspended ceiling systems are installed in accordance with the engineering specifications and shop drawings provided by the Client, architect, or engineer of record. ROZI Contractors is not responsible for the structural adequacy of the framing design, load calculations, seismic requirements, or any engineering decisions made by others. Any modifications to the framing design requested after installation has commenced will be treated as a change order and quoted accordingly.
Sound Insulation & Acoustic Systems
Sound Transmission Class (STC) and Impact Insulation Class (IIC) ratings specified in project documentation are design targets based on the complete assembly as designed by the architect or acoustical consultant. Acoustic performance depends on the integrity of the entire assembly, including framing, insulation, drywall layers, sealants, resilient channels, and every other component. ROZI Contractors is responsible for installing our scope of work in accordance with the specified assembly. We do not guarantee specific STC or IIC ratings, as overall acoustic performance is dependent on the work of all trades involved in the assembly and the accuracy of the original design.
Attic Insulation (Blown Fibres)
We require clear, safe access to the attic hatch. If the attic hatch is located in a closet, all items must be removed from the closet and any shelving that may obstruct access must be temporarily removed by the Client. All items stored within the attic space must also be temporarily removed prior to our arrival. For attic removal operations (vacuum removal of existing insulation), the Client must ensure that all items within the room containing the attic hatch are protected with polyethylene sheeting or tarps. Dust fallout is an unavoidable byproduct of insulation operations. The Client should be prepared for minor dusting for several days following installation and is advised to replace or clean their furnace filter and any other ventilation filters after our work is complete.
If vermiculite is detected in the attic, ROZI Contractors will not proceed with any work until asbestos testing has been completed and results confirm that the vermiculite does not exceed the permissible concentration of asbestos fibres as determined by Ontario Regulation 278/05. The cost of asbestos testing is the responsibility of the Client.
Dust, Debris & Construction Impact
Drywall installation, taping, sanding, insulation, metal framing, and all related construction activities inherently produce dust, debris, noise, odour, and vibration. While ROZI Contractors takes reasonable measures to minimize the impact of construction activities, the Client acknowledges that some degree of dust migration, noise, and temporary disruption is an unavoidable characteristic of construction work. ROZI Contractors is not liable for dust that migrates beyond the immediate work area, temporary odours from construction materials, or noise disturbances during working hours.
Payment Terms
Payment terms are as specified in the signed proposal, contract, or work order. Unless otherwise agreed in writing, payment is due upon completion of the contracted scope of work. For larger projects, progress billing may apply as outlined in the project agreement. Payments made by credit card are subject to an additional, non-refundable 2.5% convenience fee. Late payments are subject to interest at a rate of 2% per month (24% per annum) on the outstanding balance, calculated from the due date. ROZI Contractors reserves all rights under the Ontario Construction Act, including but not limited to the right to register a construction lien against the property for unpaid work.
Change Orders
Any changes to the original scope of work, including additions, modifications, substitutions, or deletions, must be documented in a written change order signed by both parties before the additional or modified work is performed. ROZI Contractors reserves the right to adjust project timelines and pricing in response to change orders. Verbal instructions from on-site personnel, supervisors, or third parties do not constitute authorized change orders unless confirmed in writing by an authorized representative of both the Client and ROZI Contractors.
Claims & Warranty Process
Our goal is complete client satisfaction. If a Client has any issues with the quality of work or the services provided, all claims must be submitted in writing within 30 days of the completion of the work for which the claim is being made. Payment in full of the contracted amount is a condition precedent to the activation of all ROZI Contractors warranties. Warranties and guarantees are non-transferable and apply only to the original Client who entered into the agreement with ROZI Contractors.
Our warranty includes the right for ROZI Contractors to repair or replace any defective installation or material at its own cost and at no cost to the Client. The exclusive remedy under this warranty is repair or replacement at the sole discretion of ROZI Contractors. In no event shall ROZI Contractors be liable for consequential, incidental, special, or punitive damages arising from any warranty claim, including but not limited to lost profits, business interruption, alternative accommodation costs, or damages to other property.
Subcontractors & Personnel
ROZI Contractors may utilize qualified subcontractors, specialized sub-trades, or affiliate crews to perform portions of the contracted work. All subcontractors and personnel engaged by ROZI Contractors are required to meet our quality standards and comply with all applicable safety regulations, including Workplace Safety and Insurance Board (WSIB) requirements. Due to ongoing training, certification, and quality assurance programs, additional personnel beyond the installation crew may be present on the job site at times. This is required for continuous quality monitoring and improvement.
Photography & Documentation
ROZI Contractors may photograph, video, or otherwise document work in progress and completed projects for quality control, training, portfolio, marketing, and promotional purposes. By engaging our Services, the Client grants ROZI Contractors a non-exclusive, royalty-free, perpetual license to use photographs and videos of the work performed on the Client's property for business purposes including but not limited to website content, social media, advertising, and marketing materials. No personally identifiable information of the Client will be published without express consent. If you do not wish for your project to be photographed or used in marketing materials, you must notify ROZI Contractors in writing prior to the commencement of work.
Force Majeure & Delay Clause
Neither ROZI Contractors nor its affiliate companies, subsidiaries, directors, officers, employees, or agents shall be responsible or liable for any failure to perform, or delay in performing, any obligations under any contract or agreement if such failure or delay is caused by an event of force majeure or any event that could not be reasonably foreseen or controlled. Force majeure events include but are not limited to:
Acts of God, unusually severe weather, natural disasters, fires, explosions, or other catastrophic events. Closed, unsafe, or impassable road conditions. War, riot, acts of terrorism, rebellion, or civil unrest. Strikes, lockouts, or other labour actions. Orders, requirements, or restrictions imposed by any government agency, court, or regulatory body at the federal, provincial, or municipal level. Quarantine, mandatory self-isolation orders, or recommendations from applicable public health authorities. Disruptions to the supply chain due to government shutdowns, declared epidemics, pandemics, or other public health emergencies at the provincial, national, or global level. Any province-wide, national, or global state of emergency. Mandatory government shutdowns or restrictions on construction activity.
If at any time during deployment of ROZI Contractors' work forces, our personnel deem conditions unsafe to continue, they shall notify all relevant parties and scheduling will be adjusted accordingly. ROZI Contractors and its affiliates will not be held liable for damages, extra costs, delayed schedules, incomplete work, or delays to other trade contractors' work as a result of force majeure conditions. All schedules affected by delays will be openly communicated once work is able to continue. Continuance of work is fully dependent on the cause of the delay and shall be subject to applicable government and agency recommendations, as well as the ability of the supply chain to continue supply.
Limitation of Liability
To the fullest extent permitted by applicable law, ROZI Contractors' total aggregate liability for all claims arising out of or in connection with any project, contract, or engagement shall not exceed the total value of the contract price paid or payable for the specific scope of work from which the claim arises. In no event shall ROZI Contractors be liable for indirect, consequential, incidental, special, exemplary, or punitive damages of any kind, including but not limited to lost profits, loss of revenue, business interruption, cost of substitute facilities, loss of use, or damages to property not forming part of the contracted work, regardless of the cause of action or legal theory under which such liability is asserted.
Indemnification
The Client agrees to indemnify, defend, and hold harmless ROZI Contractors, its owners, officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: the Client's breach of these Terms, the Client's negligence or wilful misconduct, inaccurate or incomplete information provided by the Client regarding the project, site conditions, or specifications, any third-party claims arising from the Client's use of the completed work, and any failure by the Client or other trades to perform work that affects the performance or integrity of ROZI Contractors' installation.
Governing Law & Dispute Resolution
These Terms and all contracts, proposals, and agreements between ROZI Contractors and the Client shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or related to these Terms or any project shall be submitted to the exclusive jurisdiction of the courts located in the City of Toronto, Province of Ontario. Prior to initiating any legal proceedings, the parties agree to make a good-faith effort to resolve disputes through direct negotiation. If direct negotiation is unsuccessful, the parties may agree to submit the dispute to mediation before a mutually agreed-upon mediator.
Modifications to These Terms
ROZI Contractors reserves the right to modify, amend, supplement, or replace these Terms at any time, at our sole discretion. All changes are effective immediately upon posting to the Site. The “Effective Date” at the top of this page indicates when these Terms were last revised. Your continued engagement of our Services following any changes constitutes your acceptance of the revised Terms. It is the Client's sole responsibility to review these Terms periodically.
